About the course

This course is for those who carry out commercial property transactions. It assumes you already know how to complete a land transaction return online for a standard purchase or lease but by the end of the day you will have a greater understanding of the law behind the tax and how SDLT applies to more complex transactions.

Topics will include:

  • TWO OR MORE TRANSACTIONS. Linkage and exchange. Connected parties.

  • EXEMPT TRANSACTIONS. Automatic exemptions. Reliefs.

  • CHARGEABLE CONSIDERATION.

  • SDLT RATES. Residential, mixed-use or non-residential. Surcharges.

  • LAND TRANSACTION RETURNS. The law.

  • COMPLIANCE. Anti-avoidance.

  • LEASES. Taxing rent. Lease variations. Linked leases. Agreements for lease. Leases that continue. Assignments. Surrenders and overlap relief. Holdover and lease renewal.

Speaker Details

Paul Clark LLB (Hons), Solicitor is a Consultant at Cripps LLP, Tunbridge Wells and SDLT trainer.

After qualifying in 1970, Paul specialised in commercial property at Linklaters from 1972, then at DJ Freeman from 1984 (where he was head of property for 10 years) and, since 2003, as a real estate consultant at Cripps LLP (now part-time).  He has been UK representative of “Clarity”, wrote the original forward funding agreement for Butterworths’ EF&P, invented the “Leasebook” in 1992 – now successfully used in flat sales, and wrote the Common Auction Conditions for the RICS. Between 2010 and 2019 Paul was practice and precedents editor of the Conveyancer and Property Lawyer.

Since 2003 he has specialised in SDLT. He was a member of the ‘working together’ and deregulation committees of HMRC from their inception until he resigned in 2017. He is an active member of the Stamp Taxes Practitioners’ Group. He provides SDLT training for conveyancers, solicitors, and accountants. He was a consultant editor on the Law Society’s SDLT Handbook for residential conveyancers

Terms  &  Conditions
  1. Sills & Betteridge LLP will send you confirmation of your booking by email or post within 2 days of receipt of this form.  A proforma will be sent to your accounts department. Once paid, you shall be sent a receipted VAT invoice.

  2. The amount due on any proforma is payable in full within 30 days save that you may cancel a booking provided you give notice at least 10 working days’ prior to the date of the conference.  In such circumstances you will receive a full refund less an administration charge of £25.00 (plus VAT) per delegate.

  3. This booking form constitutes an offer and our confirmation to you constitutes an acceptance of a legally enforceable contract on these terms.  The delegate and employer shall be jointly and severally liable for payments of fees due under the contract.

Limitation of Liability
  1. Sills & Betteridge LLP accepts no liability in respect of any losses both direct and/or indirect if for any reason the conference does not take place.  Sills & Betteridge LLP reserves the right to vary or cancel a conference at any time.  The total extent of Sills & Betteridge LLP’s liability under this contract is limited to the price paid by you to Sills & Betteridge LLP for attendance at the conference.

  2. Sills & Betteridge LLP and/or its presenter(s) shall not be liable in breach of contract, negligence or otherwise for any damages, costs, expenses and/or other losses (both direct and/or indirect) incurred by any person acting or omitting to act in reliance on the conference material or the presentation of the conference as a consequence of or in connection with any error or omission in the conference material or its presentation.
